1. About TherraSpace

TherraSpace is a technology platform that connects:

• Therapists seeking spaces for in-person sessions
• Individuals or organizations offering therapy rooms for rental

TherraSpace acts solely as an intermediary platform facilitating bookings between therapists and space owners.

TherraSpace does not:

• Own, operate, or control listed spaces
• Provide therapy services
• Act as a service provider for space rentals

As per applicable GST law, an intermediary is one who “arranges or facilitates supply between two or more parties but does not provide the main service on its own account”.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Provide accurate and complete information
• Use the Platform in compliance with applicable laws

3. User Accounts

Users must create an account to access certain features.

You are responsible for:

• Maintaining confidentiality of login credentials
• All activities under your account
• Keeping your information updated

TherraSpace reserves the right to suspend or terminate accounts at its discretion.

4. Role of TherraSpace (Intermediary Nature)

TherraSpace acts as a facilitator between therapists and space owners.

There are two distinct supplies:

1. Space rental service → provided by space owner to therapist
2. Platform service → provided by TherraSpace

TherraSpace:

• Does not provide space rental services
• Does not provide therapy services
• Does not control or supervise interactions

5. Payments & Financial Flow

Payments are processed through third-party payment gateways.

By using the Platform, you agree that:

• Payments made by therapists are collected by TherraSpace on behalf of space owners
• TherraSpace deducts applicable:
  • Commission
  • Platform / convenience fees
• Remaining amount is remitted to the space owner

TherraSpace acts as a collection agent/intermediary and not as the principal supplier of space rental services.

6. Fees and Charges

TherraSpace may charge:

• Commission from space owners
• Platform / convenience fee from therapists

All applicable charges will be displayed at the time of booking.

All fees are non-refundable unless explicitly stated.

7. Taxes (GST Responsibility)

Space owners are solely responsible for:

• Determining applicability of GST
• Issuing invoices for space rental
• Complying with tax laws

TherraSpace is responsible for GST on:

• Its platform services (commission and fees)

TherraSpace shall not be liable for tax compliance of users.

8. Bookings

• Bookings are confirmed only after successful payment
• Users must review listing details before booking
• TherraSpace does not guarantee availability beyond platform confirmation

9. Cancellation and Refunds

Cancellation and refunds are governed by the TherraSpace Refund Policy.

Important: This policy defines specific timelines for full, partial, or no refunds based on the timing of the cancellation.

10. Therapist Responsibilities

Therapists are independent professionals and must:

• Maintain professional and ethical standards
• Ensure confidentiality of client information
• Comply with applicable laws and licensing requirements

TherraSpace is not responsible for:

• Therapy outcomes
• Clinical decisions
• Professional conduct

11. Space Owner Responsibilities

Space owners must ensure:

• Safety and suitability of premises
• Accuracy of listing details
• Availability as listed
• Clean and professional environment

Space owners are responsible for:

• Property condition
• Compliance with local laws

12. User Conduct

Users agree not to:

• Misrepresent identity or credentials
• Use the platform for illegal activities
• Harass or harm other users
• Interfere with platform operations

13. Verification

TherraSpace may conduct basic verification but does not guarantee:

• Professional qualifications
• Accuracy of listings
• Safety of spaces

Users must exercise independent judgment.

14. Limitation of Liability

To the fullest extent permitted by law, TherraSpace shall not be liable for:

• Actions of therapists or space owners
• Therapy outcomes
• Property damage or incidents
• Disputes between users

All interactions occur at users' own risk.

15. Indemnity

Users agree to indemnify and hold harmless TherraSpace, its founders, employees, and affiliates from:

• Claims arising from platform use
• Professional services provided
• Property-related disputes
• Violations of law

16. Damage & Property Disputes

TherraSpace is not responsible for:

• Damage to property
• Losses incurred during bookings

All such disputes must be resolved directly between therapists and space owners.

17. No Employment Relationship

Therapists and space owners are independent users.

Nothing in these Terms creates:

• Employment
• Partnership
• Agency relationship

18. Platform Rights

TherraSpace reserves the right to:

• Remove listings
• Suspend accounts
• Modify platform features

19. Force Majeure

TherraSpace shall not be liable for delays or failures due to events beyond reasonable control, including:

• Natural disasters
• Government actions
• Network failures

20. Dispute Facilitation

TherraSpace may assist in communication between users but is not obligated to resolve disputes.

21. Changes to Terms

TherraSpace may update these Terms from time to time.

Continued use constitutes acceptance of updated Terms.

22. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.
